The claim of the former owner of Rostagrokompleks LLC, Yuri Izachik, who demanded to invalidate the donation agreement of 85% of the company to five top managers of the Rostagrokompleks group, was rejected by the Arbitration Court of the Moscow Region, according to the file of arbitration cases.
According to Mr. Isachik, the donation agreement was signed in a difficult physical and emotional state after the operation. Allegedly, he fell under the influence of deceit and delusion: he was convinced that the company was in a difficult financial situation and in the event of bankruptcy, he would have to answer for its debts, since he is the sole owner.
Yuri Izachik owned 100% of Rostagrocomplex from the moment it was founded until September 16, 2021. After the death of its co-founder Boris Alexandrov, Mr. Izachik transferred 17% of the company to top managers Sergey Babachenko, Valentina Kshennikova, Galina Makarova, Marina Reznikova and Nelli Khrapunova. The share of Isachik himself was reduced from 100 to 15%.
The investigation believes that Izachik and his accomplice (businessman Leonid Belilovsky) forced, including by threats, other shareholders of Rostagrocomplex to abandon the deal, in which Izachik himself, fulfilling the will of the deceased Alexandrov, transferred them shares in the authorized capital of the enterprise.
After Yury Izachik began to challenge the donation agreement, a case was opened against him and his colleagues in the dangerous business of Belilovsky for coercion into the transaction (part 2 of article 179 of the Criminal Code of the Russian Federation). After that, the Tverskoy Court of Moscow arrested them in absentia, since both were overseas in the United States at that time.
Defenders of the defendants deny the allegations, saying that this is just a corporate dispute.
Rostagrocomplex is part of the Rostagroexport Group of Companies, which was founded in 1995 by Boris Aleksandrov, Yuri Izachik and Leonid Mikirtumov. The Group of Companies includes three production enterprises in the Moscow region, Saratov and Kaliningrad, which produce fermented milk products and glazed curds, including the popular B. Y. Alexandrov. As of October 2021, the entire business of Rostagroexport was estimated at $50 million.
